These terms govern your use of the zimpliScribe WordPress plugin and the zimplico.de API service it talks to. ServerStage GmbH's broader hosting business (web hosting, domain registration, SSL services) is governed by its own German-language AGB; those terms continue to apply to those services and are not replaced by this document.
1. Parties
These terms form a contract between you (the "Customer", whether an individual or organization operating a WordPress site) and ServerStage GmbH, Amtsgericht Darmstadt HRB 88860, USt-IdNr. DE271231103, operating the zimpliScribe service ("zimplico").

2. The service
zimpliScribe is a WordPress plugin that connects to the zimplico.de API to offer AI-assisted proofreading, translation, and content generation. AI requests are forwarded server-side to one or more third-party AI providers (currently xAI). We hold the AI provider credentials; you never need to bring your own AI API key.
3. Registration and accounts
To use the service you must register your WordPress site via the plugin. Registration uses a domain-ownership challenge (a verification token we issue and call back to verify on your site's public REST endpoint).
On successful registration we provision an account associated with your site and issue an opaque site_id that the plugin uses to authenticate per-request.
You may register and operate multiple sites; each site has its own account and credit balance.
You are responsible for keeping the WordPress installation that holds the site_id secure.
If you transfer or sell the WordPress site, the registration transfers with it; you can deregister at any time from the plugin's admin page.
4. Free and paid credits
Each registered site receives 25 free credits per month. Unused free credits do not roll over; they expire at the start of the following calendar month. One AI request consumes one credit, regardless of input or output length.
Additional credits ("paid credits") are purchased through the billing portal linked from the plugin. Payment is processed by Stripe; we do not see or store your card details. Paid credits do not expire and are consumed only after the monthly free allocation is exhausted.
All prices shown in the billing portal are in EUR and include applicable VAT. German VAT is charged for customers in Germany; reverse-charge applies for valid EU VAT-registered customers outside Germany; export-rules apply for customers outside the EU.
Paid credits are non-refundable except where required by law (in particular, your statutory right of withdrawal as a consumer is described in section 5). Credits are non-transferable between accounts.
5. Right of withdrawal (consumers only)
If you are a consumer in the meaning of §13 BGB, applicable law (§§312g, 355 BGB implementing the EU Consumer Rights Directive) grants you a 14-day right of withdrawal from a distance contract. This section describes how that right applies to the purchase of paid credits — it does not extend any voluntary refund right beyond the legal minimum.
By purchasing paid credits, you expressly request that performance begin immediately (your credits are credited to your account and available for use as soon as payment is confirmed) and you acknowledge that, in accordance with §356(5) BGB / Art. 16(m) of the Consumer Rights Directive, your right of withdrawal expires as soon as we have begun providing the service. Because credits are provisioned immediately on payment, the right of withdrawal therefore lapses at the moment of provisioning. No refund is due after that point.
If you wish to invoke the right of withdrawal in the narrow window between payment confirmation and the provisioning of credits, send a clear statement to legal@zimplico.de.
6. Acceptable use
You agree not to use the service to:
- Generate, distribute, or attempt to generate content that is illegal under German or EU law, including material that depicts the sexual abuse of children, incites violence, or infringes copyright.
- Attempt to circumvent credit accounting, share or transfer credentials between accounts, or operate more than one account to evade limits.
- Probe, scan, or otherwise interfere with the security or integrity of the service.
- Resell, white-label, or expose the service as your own API to third parties, except under a separate written agreement.
- Submit content that you do not have the right to submit (e.g. third-party content that you don't have a license to process).
We may suspend or terminate accounts that violate these rules without prior notice. For accounts terminated for cause, unused paid credits are forfeited.
7. Content and intellectual property
- Your input
- You retain all rights to the text and images you submit. You grant us a non-exclusive license to process that content as necessary to deliver the service (transmit it to the AI provider, return the result to you, log the credit charge). We do not use your inputs to train AI models.
- AI output
- To the extent we have any rights in the output the AI generates in response to your input, we assign those rights to you. You are responsible for verifying the output before publishing it, and for ensuring that what you publish does not infringe third-party rights or violate applicable law.
- Service and brand
- The plugin code is licensed under the GNU GPL v2 or later (per the plugin's
Licenseheader). The "zimplico" and "zimpliScribe" names, logos, and the API service itself remain the property of ServerStage GmbH.
8. Service availability and changes
We aim for high availability but do not guarantee a specific uptime. The service may be unavailable for scheduled maintenance, emergency repairs, AI-provider outages, or other reasons outside our control. We will use commercially reasonable efforts to restore service promptly.
We may change the service from time to time, including adding or removing features, changing the AI provider(s), or adjusting pricing for future credit purchases. Prices already paid for credits are not affected by subsequent price changes. We will give you at least 14 days' notice (via the email address associated with your billing record, if any, or via a notice on the plugin admin page) before any material adverse change.
9. AI output disclaimer
AI-generated content can be inaccurate, biased, or factually wrong. We do not guarantee that the output is correct, complete, current, fit for any particular purpose, or free of bias. You are solely responsible for reviewing AI output before publishing or otherwise relying on it. Nothing we generate constitutes legal, medical, financial, or other professional advice.
10. Liability
Our aggregate liability for any twelve-month period is capped at the total amount you paid us for credits during the twelve months preceding the event giving rise to the claim. We are not liable for indirect or consequential damages, loss of profits, or loss of data — you are responsible for keeping your own backups of content you submit. We are not liable for third-party claims arising from your use of AI output.
For damages caused by simple negligence, our liability is further limited to the breach of a material contractual obligation (one that is essential to performing the contract and on which you may reasonably rely), and in such cases only to typical and foreseeable damages.
The limitations above do not apply to liability that cannot be excluded by law — in particular, liability for intent or gross negligence, for personal injury, or under mandatory statutes such as the German Produkthaftungsgesetz.
11. Termination
You may deregister your site at any time from the plugin's admin page. Your account remains accessible for any unused paid credits unless you also request account closure.
We may terminate your access for material breach of these terms, prolonged non-use (more than 24 months of no activity on a free-only account), or if continuing to operate the service becomes unfeasible. In normal cases we will give you 30 days' notice and the opportunity to export your data.
Paid credits are non-refundable, including any unused balance at termination, except where a refund is required by mandatory law (e.g. termination by us without cause, or a valid invocation of the right of withdrawal under section 5).
12. Data protection
Our processing of personal data is described in the Privacy Policy, which forms part of this agreement.
13. Changes to these terms
We may update these terms as the service evolves or to reflect changes in law. Material changes will be notified to you via email (to the address on file with your account, if any) and announced on this page at least 30 days before they take effect. If you do not agree with a change, you may terminate the contract before the change takes effect; paid credits remaining at termination are refundable on a pro-rata basis.
14. Governing law and jurisdiction
These terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer with habitual residence in another EU member state, you also enjoy the protection of any mandatory consumer-protection law in that state to the extent that protection cannot be derogated from by contract.
The exclusive place of jurisdiction for all disputes arising from or in connection with these terms is the courts competent for Darmstadt, Germany, except — and only to the extent — mandatory law (in particular Regulation (EU) No 1215/2012, Articles 17–19, for consumers domiciled in the EU) requires otherwise.
The EU Commission provides a platform for online dispute resolution at ec.europa.eu/consumers/odr. We are neither obligated nor willing to participate in dispute-resolution proceedings before a consumer arbitration board.
15. Severability
If any provision of these terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision shall be replaced by a valid provision that approximates the original intent and economic effect as closely as legally possible.
